1. Acceptance of Terms, Eligibility & Corporate Authority

By visiting our website, creating an account, redeeming an enterprise seat invite, or completing an enrollment checkout, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms of Service, our Privacy Policy, and our No-Refund Policy.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity to these Terms.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account or purchase services. If you do not agree to all provisions of these Terms, you are expressly prohibited from using our website and services.

2. Account Registration, Credentials & Security Obligations

To access the masterclass, governance toolkits, interactive calculators, or certification examinations, you must register for an individual account. You agree to provide accurate, current, and complete registration information (including your legal name for certification issuance).

Each registration and student license is strictly single-user. You are expressly prohibited from sharing, pooling, reselling, or transferring your login credentials, API tokens, or account access to any third party or colleague under an individual license.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify CAISG immediately at support@caisg.org upon suspecting any unauthorized access or security breach.

CAISG reserves the right, in its sole discretion, to suspend or terminate any account, revoke active examination sessions, or deactivate credentials if we detect concurrent logins, credential sharing, or unauthorized access patterns.

3. Digital Product Delivery, Payments & Strict No-Refund Policy

All CAISG offerings—including the 10-module masterclass, 142 interactive slides, 14 downloadable governance artifacts (Word, Excel, Markdown, and PDF formats), 9 LMS calculators, and examination access—are digital intellectual goods delivered electronically and immediately upon confirmed payment authorization in United States Dollars ($ USD).

Dispute & Chargeback Liabilities: You agree to contact our support desk at support@caisg.org to resolve any billing inquiries before initiating any payment dispute or chargeback with your card issuer. In the event of an unsubstantiated or fraudulent chargeback, your account and all earned certificates will be immediately revoked, and you will be liable for a $25.00 USD administrative dispute fee plus collection and legal costs.

4. Intellectual Property Ownership & Limited Single-User License

All website content, curriculum frameworks, slide presentations, examination question banks (176 questions), software calculators, audio/visual assets, trademarks, logos, and downloadable artifacts are the exclusive intellectual property of CAISG and its licensors, protected under international copyright, trademark, and trade secret laws.

Subject to your compliance with these Terms and timely payment of fees, CAISG grants you a limited, non-exclusive, non-transferable, revocable, single-user license to access the coursework and adapt the 14 governance artifacts solely for your personal professional development or internal organizational compliance operations.

RESTRICTIONS ON USE: You shall not (and shall not permit any third party to):

• Publicly post, republish, redistribute, sublicense, sell, rent, or lease any CAISG slide decks, exam questions, or materials.
• Ingest, scrape, crawl, fine-tune, or train any artificial intelligence, machine learning model, or Large Language Model (LLM) on CAISG courseware or question banks.
• Decompile, reverse-engineer, disassemble, or extract source code from any LMS software utilities or interactive diagnostic calculators.
• Remove, obscure, or alter any copyright notices, trademark legends, or proprietary rights disclosures contained on CAISG materials.

5. Examination Standards, Integrity Protocols & Credential Revocation

The Official CAISG Certificate of Completion is awarded solely to candidates who complete the curriculum and achieve a verified score of 80% or higher (40 out of 50 correct answers) on the timed 120-minute comprehensive final examination.

Academic Integrity & Anti-Collusion: Candidates must complete all assessments independently. The use of automated answering bots, unauthorized assistance, shared question banks, or proxy test-takers is strictly prohibited and constitutes a material breach of these Terms.

Audit & Revocation: CAISG reserves the absolute authority to audit examination telemetry, response timestamps, and browser event logs. If evidence of cheating, collusion, or fraudulent score manipulation is discovered, CAISG reserves the right to immediately invalidate examination scores, permanently ban the user account, and revoke any issued Certificate of Completion without refund.

6. Acceptable Use & Prohibited System Conduct

In connection with your use of our platform and services, you agree not to engage in any of the following prohibited activities:

• Interfering with, disrupting, or imposing an unreasonable load on our servers, networks, or database infrastructure.
• Attempting to probe, scan, or test the vulnerability of our systems or bypass security, authentication, or paywall boundaries.
• Uploading or transmitting viruses, worms, Trojan horses, spyware, or malicious code to the LMS or API endpoints.
• Impersonating any person or entity, or providing false identity metadata during registration or exam submission.

7. Third-Party Services & Payment Gateway Disclosures

Payment processing services are provided by Stripe, Inc. By executing a transaction on our platform, you agree to be bound by Stripe's Services Agreement and Privacy Policy. CAISG is not responsible for errors, delays, or security breaches arising exclusively within third-party payment gateway networks.

Our platform may contain references or links to third-party standards bodies (e.g. NIST, ISO, European Commission). Such links are provided solely for informational context and do not imply endorsement, affiliation, or sponsorship.

8. Absolute 'AS IS' and 'AS AVAILABLE' Warranty Disclaimer

CAISG EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF DEFECTS.

EDUCATIONAL DISCLAIMER: CAISG materials, toolkits, and frameworks are provided solely for educational and informational purposes. They do not constitute formal legal counsel, statutory audit sign-offs, or guarantee regulatory compliance immunity under the EU AI Act, GDPR, HIPAA, NIST AI RMF, or any other jurisdiction.

9. Comprehensive Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CAISG'S TOTAL AGGREGATE MONETARY LIABILITY TO YOU FOR ALL CLAIMS, LOSSES, OR CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL BE STRICTLY LIMITED TO THE ACTUAL AMOUNT PAID BY YOU TO CAISG IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS LESS.

10. Indemnification & Hold Harmless

You agree to defend, indemnify, and hold harmless CAISG, its parent, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorney fees and court costs) arising from or relating to:

• Your access to or use of the CAISG website, LMS, materials, or governance toolkits.
• Your breach of any provision of these Terms of Service or incorporated policies.
• Your implementation or adaptation of any AI governance templates, risk assessments, or policies within your organization.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.

11. Mandatory Binding Individual Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

Informal Dispute Resolution: Before filing any claim, you and CAISG agree to attempt to resolve any dispute informally by contacting support@caisg.org with a written description of the dispute. Both parties agree to negotiate in good faith for at least thirty (30) days.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or our services that cannot be resolved informally shall be resolved exclusively through final and binding individual arbitration administered by a recognized arbitration provider.

12. Governing Law, Severability, Entire Agreement & Contact Notices

Governing Law: These Terms and any dispute arising hereunder shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement: These Terms, together with our Privacy Policy, No-Refund Policy, and any applicable enterprise agreement, constitute the entire and exclusive agreement between you and CAISG regarding your use of our services, superseding all prior oral or written agreements.
